Board committees


Committees help the Board to be more effective by focusing the attention of members with specific skill sets on the oversight and monitoring of specific operations.  Committees enable the Board to:

  • develop subject-specific expertise on WBHDC’s operations, most notably financial performance, risk management and internal controls;
  • handle a greater number of complex issues more efficiently by allowing specialists to provide detailed analyses back to the Board; and
  • enhance the objectivity and independence of the Board’s decision-making by insulating it from the potential for undue influence of both managers and controlling shareholders.

Audit & Finance Committee

Chair: Roy Amalu

This minimum three-member committee uses appropriate methodology and processes to:

  • review the overall integrity of the financial systems and practices;
  • review all financial and risk management practices;
  • appoint an independent auditor; and
  • ensure all necessary financial reporting is carried out in a timely manner.

The CEO is the non-voting management representative to this committee.

Planning & Development Committee

Chair: Scott Garner

This committee:

  • reviews all development projects (new and existing); and
  • ensures that all necessary reporting is carried out in a timely manner.

The CEO is the non-voting management representative to this committee.

Governance Committee

Chair: Maggie Farrington

This committee ensures that the organizational elements that comprise a well-functioning and progressive governance system are in place. The CEO is the non-voting management representative to this committee.
